Terms of Service

1. Agreement to Terms
By accessing or using Agent Billy ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Service. These Terms apply to all visitors, users, and others who access or use the Service.
2. Description of Service
Agent Billy is a software-as-a-service ("SaaS") product that provides role-based access management for Stripe billing data. The Service allows organizations to grant team members controlled access to Stripe billing functions without exposing Stripe API keys. Agent Billy is not affiliated with, endorsed by, or in partnership with Stripe, Inc.
3. Eligibility
You must be at least 18 years old and have the legal authority to enter into contracts on behalf of your organization to use the Service. By using the Service, you represent and warrant that you meet these requirements.
4. Accounts and Registration
You must create an account to use the Service. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately at hello@agentbilly.ai if you suspect any unauthorized use of your account. We reserve the right to terminate accounts that violate these Terms.
5. Stripe API Keys
By providing a Stripe Restricted API Key, you represent that you are authorized to connect the associated Stripe account to the Service. You agree to provide only Restricted API Keys (beginning with rk_) and never Full Secret Keys (beginning with sk_). Agent Billy stores API keys encrypted in Azure Key Vault. While we implement industry-standard security practices, you remain solely responsible for the permissions granted to any API key you provide.
6. Acceptable Use
You agree not to: (a) use the Service for any unlawful purpose or in violation of any regulations; (b) attempt to gain unauthorized access to any part of the Service or its related systems; (c) use the Service to process transactions in violation of applicable law; (d) reverse-engineer, decompile, or disassemble any portion of the Service; (e) use automated means to scrape or extract data from the Service; (f) resell or sublicense the Service without our written consent.
7. Fees and Payment
The Service is offered on a subscription basis. Current pricing is displayed at agentbilly.ai/pricing. Subscriptions are billed monthly or annually in advance. All fees are non-refundable except as required by applicable law or as otherwise stated in these Terms. We reserve the right to change pricing with 30 days' notice to existing subscribers.
8. Cancellation and Termination
You may cancel your subscription at any time from your account settings. Upon cancellation, your access to the Service will continue until the end of your current billing period. After cancellation, your container will be suspended and your data will be retained for 30 days, after which it will be permanently deleted. We reserve the right to terminate your access immediately for violations of these Terms.
9. Intellectual Property
The Service and its original content, features, and functionality are owned by Agent Billy and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to use the Service for your internal business purposes.
10. Disclaimer of Warranties
The Service is provided on an "AS IS" and "AS AVAILABLE" basis without any warranties of any kind, either express or implied. Agent Billy does not warrant that the Service will be error-free, uninterrupted, or free of viruses or other harmful components. We do not warrant the accuracy or completeness of any data retrieved from Stripe through the Service.
11. Limitation of Liability
To the maximum extent permitted by applicable law, Agent Billy shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, goodwill, or other intangible losses, resulting from your use of or inability to use the Service. Our total liability for any claims arising under these Terms shall not exceed the amount you paid to us in the 12 months preceding the claim.
12. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts located in Delaware.
13. Changes to Terms
We reserve the right to modify these Terms at any time. We will notify you of material changes by email or by posting a notice in the Service at least 14 days before the changes take effect. Your continued use of the Service after changes take effect constitutes your acceptance of the revised Terms.
